- The purpose of this paper is to investigate how emerging and developed market multinationals (EMMs and DMMs) differ in their acquisition behavior (vis-à-vis the choice of partial versus full acquisitions) when entering a developed market economy, Japan. We hypothesize that EMMs prefer partial acquisitions, whereas DMMs prefer full acquisitions due to what we call the country-of-origin effect. Additionally, we hypothesize that this country-of-origin effect is more pronounced for smaller firms. The results, based upon 224 strategic cross-border acquisitions in Japan, support these two hypotheses. - 日本におけるM&Aと被買収企業の業績本稿では,海外の企業により買収された日本企業の業績の変化について検討する。海外の企業による日本企業の買収事例としては,ルノーによる買収後業績が回復した日産自動車や,ダイムラー・クライスラーによる買収後に業績が悪化した三菱自動車などがあげられる。本研究では海外企業より買収された全ての日本企業を,比較的長期間(買収前の5年間及び買収後の5年間計10年間)にわたって分析を行なった。その結果,海外の企業による買収は日本企業の業績に寄与しなかったということが明らかとなった。さらに,人員削減が行なわれていることも明らかになった。しかし,一般的に考えられていることとは違い,人員削減は買収の間だけではなく,その前後も行われていた。日本財務管理学会, 2009年05月, 年報財務管理研究, 第20号,110-118頁(20) (20), 110 - 118, 日本語研究論文（学術雑誌）

- ドイツ企業による日本企業のM&A-競争優位を作るために-技術進歩,規制緩和と需要拡大の背景下,1990年代後半からドイツの製薬化学関連企業と自動車関連企業は日本に進出して同業種の日本企業を盛んに買収してきた。このM&Aの市場活動により,ターゲットである日本企業は成長率の変化が発見されなかったが,普遍的な業績改善と労働生産性向上の傾向が見られた。これは,ドイツを含む外国企業によるM&Aは,経営資源の整合と新しい経営ノウハウの導入,生産技術力を強化しながら日本企業の国際的な競争優位に寄与していると示唆できる。日本財務管理学会, 2007年04月, 年報財務管理研究, 第18号, p.24-33(18) (18), 24 - 33, 日本語研究論文（学術雑誌）

- 日本学術振興会, 科学研究費助成事業, 基盤研究(B), 2014年04月01日 - 2017年03月31日グローバル・イノベーション創出型の国際人的資源管理に関する研究本研究では、企業がグローバルに事業を展開していく中で、グローバル・レベルのイノベーションを支える多国籍かつ多文化的背景を持つ人材をいかに活用していくのかについて、国際的チームなどでのイノベーションのメカニズムを理解するためのミクロレベルの研究を中心とする「グローバル・イノベーション・プロセスの解明」と、そこから得られる知見を統合することで人的資源管理全体のあり方を考える「グローバル・イノベーション創出のための国際人的資源管理の統合モデルの構築」の２つの活動を通じて明らかにしようとしてきた。本研究成果は、国内外の主要な学会での報告、国際ジャーナル掲載分を含む学術論文、および書籍の形で発表された。

- 日本学術振興会, 科学研究費助成事業, 基盤研究(B), 大阪大学, 2011年04月01日 - 2014年03月31日日本企業のグローバル化にともなう人事部門の進化に関する研究本研究では、日本企業が自国で培った強みを生かしつつも、国籍を問わず幅広い人材を活用していくといった意味でのグローバル化を実現するために、企業全体の人的資源のマネジメントを司る人事部門がその役割と機能をどのように進化させていくのが最も適切かつ望ましいのかについて、日本企業の人的資源管理および人事部門の歴史的発展段階の分析および海外のグローバル企業の比較分析を含めた調査を行うことによって明らかにしようとしてきた。本研究成果は、国内外の学会大会で報告されたほか、主要な英文ジャーナルを含む複数の学術雑誌に投稿され、そのうちの１部はすでに刊行された。
- 日本学術振興会, 科学研究費助成事業, 基盤研究(C), 大阪大学, 2008年 - 2010年グローバル企業の海外拠点におけるトップマネジメントの研究グローバル企業の海外拠点業績および全社業績に大きな影響を与える、現地拠点のトップマネジメントチームの特徴について、既存の文献やデータの収集、海外における情報収集を通じて理論的フレームワークの構築を行った。次に、構築された理論的フレームワークに基づき、グローバル企業の海外拠点におけるトップマネジメントチームの特徴と、その拠点業績への影響について、実証データの蓄積と検証を行った。これらの研究成果は、主に海外の国際学会で報告され、それに基づいた論文が、海外ジャーナルに掲載された。

- 日本学術振興会, 科学研究費助成事業, 特別研究員奨励費, 2005年 - 2005年コーポレートガバナンスと中小企業について税務,財務,環境問題を取り上げ日独の比較を行う。1年間ドイツと日本のコーポレート・ガバナンスについて研究し,様々な論文を発表した。 ドイツの企業は政府から新しいコーポレート・ガバナンス・コデックスを守るよう規制されているため,ドイツの120程度の企業を探して,コーポレート・ガバナンスを守っているかどうかを調べてパフォマンスを検討した。また,日本のコーポレート・ガバナンスにつき,取締役会の役割を調査した。 この課題については,7月2日に徳島大学で開催された経済財務管理学会で報告した。 加えて,様々な研究者,例えば田渕進氏(大阪経済大学教授),Li Donhao氏(神戸大学COE研究員)とUwe Vollmer氏(Leipzig大学教授)と一緒に協同研究を始めた。

■ 研究シーズ- 国際経営とコーポレートガバナンスシーズカテゴリ：人文・社会, 情報通信, その他研究キーワード：合併と買収, ドイツと日本の経営, 人的資源管理, ファイナンス, コーポレートガバナンス研究の背景と目的：私は日本在住のドイツ人として、20年間にわたり主に国際経営について研究をしています。特に、日経企業が海外でどのぐらい成功しているのか、また、日本の外資系企業がどのぐらい成功しているかを調べています。合併と買収、合弁企業についての研究も行い、戦略的な合併・買収の動向と財務的な投資家についての調査を実施しています。研究内容：国際経営についての研究が専門です。さまざまな国の研究者と共同研究を行っています。ここ近年の共同研究者はオーストラリア、ドイツ、アメリカ在住です。オーストラリアのDr. Ashish Malikと国際経営に関する論文を共同執筆しました。その一つに、“Mind your language”があります。ドイツのDr. Froeseと共に、日本在住の駐在役員について論文を執筆し、Journal of International Managementに採択されました（2020年）。論文の内容は、駐在が終わり帰国し本社に戻ると、日本の企業の業績がどのぐらい変化するかということです。現在は、アメリカのDr. Kshetriと共に、日本の経営とコーポレートガバナンスについて研究を行っています。その他、博士課程の院生、Lara Makowski氏とKashif Ahmed氏と共同執筆し、採択されました。関係する業績：これまで93報の論文を執筆しました。
