- The purpose of this paper is to investigate how emerging and developed market multinationals (EMMs and DMMs) differ in their acquisition behavior (vis-à-vis the choice of partial versus full acquisitions) when entering a developed market economy, Japan. We hypothesize that EMMs prefer partial acquisitions, whereas DMMs prefer full acquisitions due to what we call the country-of-origin effect. Additionally, we hypothesize that this country-of-origin effect is more pronounced for smaller firms. The results, based upon 224 strategic cross-border acquisitions in Japan, support these two hypotheses. - Purpose: This paper aims to identify the role of language in international business context, especially in a post-merger integration (PMI) process, and to develop a framework for language strategies in a PMI context. Design/methodology/approach: Based on the authors’ review and building on earlier works, this paper develops a conceptual model regarding the use of language in different PMI scenarios and identifies the key resource mix that may be suited for an effective deployment of language strategies. Findings: The authors find that the use of a language at target firms depends on the degrees of strategic interdependence and organizational autonomy. They classify different constellations of targets in a PMI context and propose the most appropriate language strategies for different classification of PMI firms. Research limitations/implications: The authors develop five testable future research propositions based on our conceptual model. The paper is not without its limitations. The authors’ propositions need to be tested in future studies. It may be sometimes difficult to collect data based on all the four segments of firms using a quantitative design. It is also challenging to investigate about the language used at the target firms using quantitative designs. Practical implications: The authors’ model has several practical implications for the managers. Bidder firm’s managers can decide the use of appropriate language depending on their acquisition strategy. It is very likely that target managers have to change the language following the acquisition, and because of this change, influence on their routines will be significant. This issue becomes most important if both firms do not speak the common corporate language – English language. The authors bring ideas for a best fit, which are applicable not just for merger and acquisition but also for other strategic sourcing areas such as outsourcing strategies. Social implications: There are several negative emotions that are invoked through language. Language is also power laden and affects social structure and group dynamics at work. By addressing the use of appropriate language strategies, people can potentially avoid the dark side of language. - We investigate when organizational justice matters to employees’ commitment in the postacquisition process after a company is taken over in a cross-border acquisition. Overwhelming evidence from the literature suggests that employees who are treated fairly during acquisitions are more committed to their new firms. We extend this finding by dividing organizational justice into three subdimensions: informational justice, interpersonal justice, and procedural justice. We find evidence that procedural justice is an important antecedent of affective merger commitment at an early stage of the integration period, while informational justice becomes important at a later stage. Further analysis on heterogeneity between the target firm's employees and the bidder firm's employees reveals that, immediately after the acquisition, target firm's employees value knowing where they will be at the new firm (procedural justice), while bidder firm employees are more concerned about communication and transparency (informational justice). - This article sheds light on pilots’ perceptions of justice and their job identification. The research investigates pilots’ perceptions of the fairness with which they are treated, how these perceptions might influence their identification with their jobs and whether this identification influences operational safety. The methodological approach integrates the pilot-organisational behavioural model introduced in this research into two commonly known models of the human factor in aviation: the ‘Software-Hardware-Environment-Liveware (pilot)-Liveware (team)’ – or SHELL – model and the ‘Swiss cheese’ model. - This study contributes to the understanding of how target firm employees perceive organizational change after a cross-border acquisition. Based on the tenets of the group engagement model, we pick procedural and interpersonal justice and investigate how it influences the organizational identification of target employees. We extend previous findings from the literature, that employees who are treated better have a higher organizational identification to the new firm. Overall we find that procedural justice matters more to target employees than interpersonal justice does. Furthermore, while procedural justice matters earlier at the post-acquisition integration, interpersonal justice becomes more salient a year after the deal. Managers are therefore advised to inform their target employees immediately after the deal about procedures, and especially about their (possible) future stay at the new firm. - This paper examines interrelationships among foreign firms' perceptions of market barriers related to the access, quality of inter-organisational institutions and their market commitment and performance in Japan. Our findings suggest that foreign firms that perceive a higher level of macro-level institutional barrier are likely to have an unfavourable assessment of the accessibility of the Japanese distribution system. We also found that firms with a favourable assessment of the accessibility of the Japanese distribution system are likely to develop better inter-organisational networks. Finally, our findings would suggest that firms with a higher level of commitment to and performance in Japan are characterised by a favourable assessment of the accessibility of the Japanese distribution system and better inter-organisational networks. - This paper examines the technological, market, industry and institutional sources associated with the cross-national heterogeneity in e-retail spending. We used the economic theory of complementarities as the theoretical framework and estimated panel data models for 10 year data from 43 countries to test our hypotheses. We identified various activities and resources in the e-retail ecosystems that may produce positive or negative externalities in the development of the e-retail industry. We found that broadband Internet is an important determinant of an economy’s e-readiness in explaining international heterogeneity in e-retail spending. - Economies worldwide vary greatly in terms of how much their consumers spend on various types of retail activities. The purpose of this article is to examine how the regulatory characteristics as well as the natures and strategies of businesses are related to retail spending. Random effect time-series cross-sectional (TSCS) models linear in parameters were employed for forty-eight economies using annual data for the 1999-2008 period. The results provided strong support that economic freedom, foreign direct investment (FDI) inflow, and access and availability as measured by the density of retail stores positively affect retail spending. - Managerial functions valued by expatriates and reasons for appointing host country managers were examined in an exploratory, multimethod (interview and questionnaire) study with expatriates and local managers as the respondents. Based on theoretical perspectives of agency theory, transaction costs theory, resource-based views and organizational learning theory, changes in the valuation of these functions were hypothesized and examined for subsidiary age and nationality of the respondent. Expatriate and local managers' views supported previous research on certain management functions but differed on others (e. g. management development). The data indicated curvilinear relationships for a number of managerial functions between nationality of top manager and age of the subsidiary. Strategic factors were analysed by subsidiary age and nationality of the respondent manager to understand more about maturity of host company operations and strategic orientations. The results indicated the growth in the strategic functions of technological leadership and market development/branding in older subsidiaries. - Drawing from the knowledge-based view of multinational corporations (MNCs) and the upper echelons perspective along with the theory of job demands, we examine the relationship between nationality background of MNC affiliates' top management (i.e. expatriates or host country nationals) and affiliate performance. Using a sample of 643 foreign MNC affiliates from 31 countries operating in Japan, we found that when the length of an affiliate operation was shorter, the affiliate performed better under the expatriate managing director rather than the Japanese managing director. We also found that when the size of an affiliate was larger and the length of operation was shorter, the affiliate performed better under the larger rather than smaller proportion of expatriates in the top management team. - This paper compares bank regulation and supervision in Japan and Germany. We consider these countries because they both have bank-dominated financial systems and their banking systems are often lumped together as one model, yet, bank stability differs significantly. We show that Japan and Germany have chosen different approaches to bank regulation and supervision and ask why they made their choices. - Our empirical study provides insights into executive staffing practice patterns in foreign MNC affiliates based in Japan. Using a sample of 3,241 foreign companies, our results show that affiliate size and high ownership ratio are associated with larger numbers of parent-country nationals (PCNs) in top management and board positions. However, contrary to research in other countries, affiliate age was not related to the likelihood of sending PCNs. Two cultural variables relating to parent countries, Uncertainty Avoidance and Power Distance, were found to be associated with the likelihood of multinationals sending PCNs to executive positions at their affiliates. Furthermore, Japan's two major centres (Kanto and Kansai) have more PCN top managers and PCN board members than other parts of the country. - The purpose of this paper is to investigate performance impact at board level in the corporate governance of Japanese companies. We have investigated the size and composition of boards (with reference to outside directors and auditors), and applied this to a set of 821 Japanese manufacturing companies. We found evidence that board size does not matter, but a higher ratio of outside directors/outside auditors appears to relate to better company performance. As a second step, we put Japanese companies into three groups, 'traditional companies' (without outside directors), 'new Japanese companies' (which have appointed outside directors) and, as a third group, companies who apply the 'US-style' committee system. Traditional Japanese companies showed the weakest and US-style Japanese companies the strongest performance. The results are important as they suggest that Japanese companies can benefit from a high ratio of outside directors and outside auditors. - ドイツ企業による日本企業のM&A-競争優位を作るために-技術進歩,規制緩和と需要拡大の背景下,1990年代後半からドイツの製薬化学関連企業と自動車関連企業は日本に進出して同業種の日本企業を盛んに買収してきた。このM&Aの市場活動により,ターゲットである日本企業は成長率の変化が発見されなかったが,普遍的な業績改善と労働生産性向上の傾向が見られた。これは,ドイツを含む外国企業によるM&Aは,経営資源の整合と新しい経営ノウハウの導入,生産技術力を強化しながら日本企業の国際的な競争優位に寄与していると示唆できる。日本財務管理学会, Apr. 2007, 年報財務管理研究, 第18号, p.24-33(18) (18), 24 - 33, JapaneseScientific journal

- On 9 March 2006, the Bank of Japan announced a change in its monetary policy framework. It decided to terminate quantitative easing policy and intends to attach more importance to price stability. - The purpose of this paper is to investigate the performance impact at the board level in the corporate governance of Japanese companies. We investigated the composition of outside directors and outside auditors for three years and found evidence, that a higher outside ratio leads to a better performance. As a second step, we cluster Japanese companies into three groups, companies without outside directors, companies which appointed outside directors and companies who apply to the "US-style system." Companies without outside directors every single year show the weakest performance and US-style Japanese companies the strongest what leads to the conclusion that Japanese companies might be better off having a high ratio of outside directors and outside auditors.Virtus Interpress, 2007, Corporate Board: Role, Duties and Composition, 3(2) (2), 28 - 36, EnglishScientific journal

This project focused on two main themes: The understanding of the micro-level process of creativity and innovation in multinational or multicultural teams, and the development of the overarching framework of international human resource management that enables multinational firms to promote global innovation. Major findings from this research project have been presented at various international and domestic academic conferences and published in major English and Japanese academic journals as well as books.

Especially we focused on how human resource departments of globalizing Japanese firms can help the firms utilize their human resources distributed globally while at the same time maintaining their strengths stemming from Japanese employment practices. Major findings from this research project have been presented at various international and domestic academic conferences and published in major English and Japanese academic journals.
- Japan Society for the Promotion of Science, Grants-in-Aid for Scientific Research, Grant-in-Aid for Scientific Research (C), Osaka University, 2008 - 2010The Role of Top Management in Multinational Companies' Foreign AffiliatesBased on the extensive literature reviews and field survey, we developed a theoretical framework on the characteristics of top management teams (TMTs) in multinational companies (MNCs)' foreign affiliates, and their effect on affiliate performance. The theoretical framework was then empirically tested through quantitative data and statistical analysis of MNCs' foreign affiliates operating in Japan. Our findings were presented at international academic conferences and the papers on this topic were published in major English journals.

- 日本学術振興会, 科学研究費助成事業, 特別研究員奨励費, 2005 - 2005コーポレートガバナンスと中小企業について税務,財務,環境問題を取り上げ日独の比較を行う。1年間ドイツと日本のコーポレート・ガバナンスについて研究し,様々な論文を発表した。 ドイツの企業は政府から新しいコーポレート・ガバナンス・コデックスを守るよう規制されているため,ドイツの120程度の企業を探して,コーポレート・ガバナンスを守っているかどうかを調べてパフォマンスを検討した。また,日本のコーポレート・ガバナンスにつき,取締役会の役割を調査した。 この課題については,7月2日に徳島大学で開催された経済財務管理学会で報告した。 加えて,様々な研究者,例えば田渕進氏(大阪経済大学教授),Li Donhao氏(神戸大学COE研究員)とUwe Vollmer氏(Leipzig大学教授)と一緒に協同研究を始めた。
