• タイの企業構造改革をめぐる法的分析

  Law Reform has been one of the most important tools of the Corporate Sector Structural Reform in Thailandsince the first 'conditionalities' set under the IMF rescue package. However, very few researches have been madeto review the adequacy and the efficiency of such Law Reform. This article tries such a review on the Thailand'scorporate sector reform, in the context of critical analysis over the growing trend of Legal Technical Assistance ini-tiated by both multilateral and bilateral donors.As in majority cases, the Legal Reform in Thai corporate sector was promoted under the pressure from the mostpositive donors, that is, World Bank and the US government, and accordingly, the model for the reform has essen-tially been the American law. However, it is known that American corporate law is a quite unique product of itsfederation system, where the states' corporation laws have been playing a 'race for the bottom' to deregulate and toenlarge the freedom of management, and the federal stock exchange has been the only actor to set the minimum reg-ulations over them. It is quite doubtful that such a deregulated model as the American corporate law can help seri-ous reform in Thailand's corporate sector where traditional family-owned private companies have been manipulatedeach major industry. A careful legal analysis tells that the recent law amendments done in Thailand is not a simpletransplantation of the American model, which would reflect the Thai law-makers unwillingness toward the com-pelled foreign models.

  本研究は、2015年に発足したアセアン経済共同体(ASEAN Economic Community: AEC)の十年評価へ向けて、共通法政策が域内後発諸国の開発課題に与える影響を検証し、開発格差の大きい地域経済統合における共通規範の定立のあり方を検討し、またこれに対する多国間・二国間の法整備支援の在り方について提言することを目的とする。本研究は2022年度～2025年度の４年画である。初年度である2022年度は主要な経済法制分野（外資法・労働法・競争法・企業法・知的財産権法・消費者法他）におけるAECの共通法政策を各論的に確認し仮説を抽出する目的で、現地研究協力者や法整備支援実務家を交えた連続10回の公開研究会を実施した。2023年度は、AECの共通法制策を受けたアセアン後発諸国の法制改革の動向と課題を明らかにする目的で、ベトナム及びカンボジアにおける現地調査を実施し、経済法制改革を牽引する司法省・商業省等の政府部門、法の実施を担う普通裁判所や労働裁判所、商工会議所・ジェトロ、ハノイ法科大学他の大学研究者との研究交流を重ねつつ、前年度の研究成果から抽出された各論的課題につき情報収集・分析を深めた。 主な知見として、対象両国ともに、競争法の実施の棚上げないし遅れ、民法典改正・商法起草等の基本法典の改革における「取引の安全」の強化、消費者保護法の切り離しなど、規制緩和基調の法整備路線が見出され、「インクルーシブ・アセアン」を標榜するAECの共通法制策との乖離が論点として浮かび上がった。

  本研究は、アセアン後発諸国の市場経済化に伴う経済法制改革の検証を目的とし、各国の制度設計の相違を変数として社会経済的影響を分析することにより、改革の功罪を検証し、法整備支援の在り方につき提言を引き出すことを意図するものである。 2020年度は３年間の研究計画の２年度目であり、現地出張調査を予定したが新型コロナ禍の影響で渡航による調査を実施できず、代わってアセアン諸国の研究協力機関（カンボジア司法省、インドネシア・ランプン大学開発法研究所、ラオス国立経済研究所、ミャンマー・ダゴン大学法学部、フィリピン大学公共政策学部、ベトナム・ホーチミン経済法科大学法学部他）による調査協力を受け、オンライン方式による研究会合を重ねつつ次年度の本格調査へ向けた制度比較と質問票準備に専念した。その結果、とくに以下３つの領域で進捗を見た。 第一は法の支配の基盤を為す司法制度と代替的紛争解決制度（ADR）の制度動向であり、判例研究や質問票調査を含む司法の質の独自の計測手法を検討し、また各国で整備される新たな調停制度の異同の検討を行った。 第二は倒産法・会社法・担保法を中心とする中小企業金融法制であり、おりしもコロナ禍で進む倒産処理の実態につき現地協力先による企業・金融セクターへの聴取り調査を実施した。 第三は、アセアン経済共同体（AEC）等の統合化が進む競争法・消費者保護法・知的財産権法等の市場競争制度の動向につき、各国の立法比較に加え法の現実の実施状況や経済界の対応について情報収集を進めた。 このほか前年度の研究成果を受け、米国の碩学Brian Z. Tamanaha教授（University of Washington St. Louis）他の共同執筆者とともに、2021年中の国際出版準備を進めた。

  This research is focused to make clear The economic and technological system for sustainable development, based on both microeconomic (investment policy of a private company) and macroeconomic aspects (financial and monetary policies by the state). Research is targeted on the technological and economic system in China's industrial sector. We have investigated the following two main research issues : (1) Collecting and analyzing the micro case studies on the environmental pollutant for : 1.The level of manufacturing techniques and state of pollutants in industrial sector 2.The company's management (such as investment plan, etc) 3.The environmental pollution (waste -gas and wastewater) management in China (2) Lessons from Japanese experience to overcome the pollution problems in China : 1.Determine the level of manufacturing techniques for pollution prevention in industrial sector 2.Determine the contribution of technical cooperation, investment and low interest loans to the pollution prevention 3.Investigate the role of technical progress in pollution control and prevention 4.Determine the role of government, private enterprises and non-profit sector in pollution prevention At first, we carefully selected few case studies both from Japan and China. Then, we made a detailed analysis of those studies to evaluate the above mentioned research issues. This analysis was supported with the field research to get the real state of affairs, and also to discuss those issues with the researchers, policy makers, and other relevant professionals in China. Based on that research we have examined the strategies for sustainable development from economics and technological point of view.
