  • プラットフォームビジネスに適合した流通システムの形態に関する研究

    令和3年度は、プラットフォームの理解を促進するための研究のみならず、それが既存のサプライチェーンへ及ぼす影響の解明の一歩になり得る研究を推進することができた。例えば、前者はプラットフォームが自社の製品を優遇する行為 (自己優遇) に着目したものであり、そのような行為がマーケットプレイス上でのサードパーティの売手の行動や、そこに参加する消費者の行動に与える影響を分析した。さらに、自己優遇行為を禁止するような政策がどのような帰結をもたらしうるかを明らかにすることで、競争政策への貢献を与えた。後者は、プラットフォームが自身の持つ需要情報をサードパーティの売手に共有するか否かを論じたものである。需要情報の共有は、売手のプラットフォーム内での行動だけでなく、既存のサプライチェーンにおける行動にも影響を与える。これらの広範な影響を包括的に考慮した上で、情報共有に関するプラットフォームのプライベートなインセンティブだけでなく、その他の利害関係者への影響も分析することができた。これらの研究成果は、すでに査読付きジャーナルに掲載および掲載確定している。また、これら以外にも、令和2年度から継続しているプロジェクトや令和3年度に新しくスタートしたプロジェクトもあるため、これらが今後査読付きジャーナルに掲載されるように努める。 加えて、シェアリングエコノミー型のプラットフォームの普及が、そこで取引される財の製造業者へ及ぼす影響に関する理論的分析にも着手することができた。これらの研究成果は、まだ論文としてまとめきれていないものからすでにワーキングペーパーとして公表したものまであるが、まだ査読付きジャーナルに掲載されるには至っていない。今後、様々な研究会・学会での報告を通して、査読付きジャーナル掲載に向けて投稿を進めていきたいと思っている。

  • Corporate governance: exits and profitability

    Considering the difficulty of exiting from a declining loss-making sector, this study took a law and economics approach to examine the problems of Japanese corporate governance from the perspective of encouraging early exit, and, conducted theoretical and empirical analysis of how corporate governance can be established to support aggressive management that promotes sustainable growth in relation to recent corporate governance reforms. The introduction of the Stewardship Code and the Corporate Governance Code has led to improvements in corporate governance and contributed to the enhancement of corporate value. On the other hand, our findings suggest that reforming employment practices, including labor laws, promoting collective engagement, and eliminating cross-shareholdings are also essential. Many of our findings have been published in journal articles, conference presentations, and books.

    From an international view, we investigate the recent development in corporate governance in Japan such as shareholder meeting, shareholders activism, management buyouts, poison pills and post-performance, the effects of foreign institutional shareholders on information disclosure, and, firm-bank relationship. Though Japanese corporate law provides shareholders powerful authorities, shareholder activism is weak in Japan in comparison with other Asian countries. In particular, our case study shows that a poison pill approved under interlocking shareholding against an activist led to poor post-performance. This suggests that interlocking ownership isolates managers from pressures of capital market. Our legal studies provide several proposals for improving Japan’s corporate governance. We have presented numerous papers in conferences. And several articles are published in journals as well as in books.

    In this project, we investigate the new developments in corporate governance from perspectives of cross border hedge fund activism, business judgment rule, corporate bond market, firm-bank relationship, stock option scheme, takeover defenses and cross shareholding structures. We have presented numerous articles in conferences and our several articles are published in journals as well as in books.

  • Development of efficient securities markets in light of the industrial organization of the financial industry

    本研究では金融業の産業組織と証券市場を分析することにより、次のような研究成果を得た。第1に我が国の社債発行市場において新発債価格が流通市場における実勢価格から乖離する傾向を説明する経済理論モデルを構築した。第2にその流通市場におけるアノマリーを分析し、我が国における企業の決算時期のばらつきが市場の非効率性に影響することを示した。第3に証券業の生産効率とパフォーマンスを評価し、中小証券会社でも大手証券会社と同程度の高い生産効率を見せる企業が存在することを示した。これらの成果は国際学術雑誌、国際学会において公表することができた。

    本研究では消費者行動が流通チャネルにおけるパワー関係の形成に影響を与えるという仮説を科学的に分析することにより、以下の研究成果を得た。第1に消費者が流通業とメーカーのパワー関係をどのように知覚しているかについて、広範なマーケティング・リサーチを段階的に実施し、結論として製品カテゴリーによりそのイメージは大きく異なるなど幾つかの重要な知見が得られた。第2に流通業がそのサプライヤーに対しパワーを発揮する状況を、ゲーム理論を援用して構築した数理モデルにより描写し、同時にそのモデルが実証的に妥当性を有することを明らかにした。これらの成果は国際学術雑誌、国際学会において公表した。

  • 社債市場構造と企業組織の連関についての研究

    企業組織内における意思決定と,社債市場との相互の連関を明らかにすることが本研究の目的である.最終年度である今年度は前年度の実績報告と,今年度の交付申請書の研究実施計画に基づき,社債市場の構造自体を定量的に探る研究を行った.我が国では証券業の産業組織が社債発行市場の効率性に影響することが指摘されるが,社債の発行時の価格付け,ないし利回り設定がそうした要因に影響されるかどうかを実証的に探った.結論としては次のようなものが得られた.社債券の発行時の価格は市場実勢より有意に高く設定される,すなわちオーバープライシングが行われるが,このオーバープライシングは次のような新規発行銘柄で特に見られることになった.第1に引受時の幹事証券会社数が少ない銘柄,第2に引受主幹事証券会社を経験した証券会社が少ない期間に起債された銘柄,第3にAAAからA-の間で格付けがなされている,高格付けの銘柄である.この中でも第2の結果は証券業における競争構造が価格付けに反映されていることを示唆しており,重要な結論となる.引受業務を経験している会社が少ないということは,逆に言うと特定の証券会社に社債発行の引受業務が集中していることを意味する.我が国の証券会社数はここ10年は270社前後で推移しているものの,社債市場に限定するならば,1990年代後半には,各四半期に最低1回の主幹事としての社債引受実績のある証券会社は20社前後であり,桁違いに少ない.これは実質的には引受主幹事が特定の大規模証券会社に集中しており,中小の証券会社は引受の業務を行っていないことを意味している.今後こうした現象を説明する経済理論に即するモデルを構築することも可能であると思われる.なおこの研究成果の論文は,査読付き国際学術雑誌Applied Financial Economics Letterに受理され,掲載予定となっている.
